1. Definitions

2. What Cluttr Is (and Isn't)

Cluttr is a lead-generation and documentation platform connecting Owners and Resellers. Cluttr does not buy, sell, own, store, transport, or take title to any items at any point. Cluttr is not a party to the sale between Owner and Reseller, and does not guarantee item condition, sale price, or sell-through.

3. Conservative Value & Estimates

  • CV is an estimate only, based on comparable listings at time of assessment. Not a valuation, appraisal, or guarantee of sale price.
  • Cluttr is not liable for any difference between CV and actual resale outcome.
  • Owner acknowledges CV is intentionally conservative and final resale value may be higher or lower.
  • Neither Cluttr nor the Reseller is bound to CV. Second-hand item condition varies by nature, and CV may shift on physical inspection.

4. Pricing Structure

5. Handling Fees

  • Total handling fees on a Lot capped at 25% of Owner's gross share.
  • Owner payout floor: never below 30% of Lot CV. If fees would breach this floor, fees are reduced, not the payout.

6. Minimum Thresholds

Cluttr may decline or require bundling below these:

7. Escrow & Payment Release

  • Reseller pays buy-in to Cluttr on acceptance of Lot.
  • Funds held in escrow.
  • Reseller has 48 hours from collection to flag condition discrepancies with photo evidence.
  • Discrepancy adjustments to Owner's payout capped at 20% without Owner's written approval.
  • On listing confirmation, Cluttr releases: Owner payout, Cluttr fee, and any handling credit to Reseller.

8. Reseller Obligations

  • Collect items within agreed window.
  • List items in good faith at or above CV within agreed timeframe of collection.
  • Report condition discrepancies within 48 hours, with evidence.
  • Any resale proceeds above CV are the Reseller's, no reporting obligation to Cluttr or Owner.
  • Reseller bears all risk of unsold inventory after purchase; no refund from Cluttr or Owner.

9. Owner Obligations

  • Provide accurate description of items and condition.
  • Make items available for collection within agreed window.
  • Understand and accept CV is an estimate, not a guaranteed sale price.
  • Option to donate part or all of payout to nominated charity in lieu of payment.

10. Cluttr's Role & Liability

Cluttr facilitates matching, documentation, and escrow only. Cluttr is not liable for: item condition disputes beyond the 48-hour window, Reseller's ability to resell, Owner's dissatisfaction with CV vs actual market price, loss or damage during collection or transport.

Cluttr's total liability in any dispute is limited to fees paid to Cluttr for that Lot.

11. Disputes

  • Discrepancies must be raised within 48 hours of collection (Reseller) or within 7 days of payout (Owner).
  • Cluttr will mediate in good faith but is not bound to any resolution.
  • Unresolved disputes proceed under New Zealand law, jurisdiction of the New Zealand courts.

12. Termination

  • Cluttr may suspend or remove any Owner or Reseller account for breach of these terms, fraudulent listings, or repeated disputes.
  • Either party may withdraw from an unaccepted Lot at any time without penalty.

13. Governing Law

These terms are governed by the laws of New Zealand.
